1. Introduction:
These Terms and Conditions (“Terms”) govern your use of services provided by FlexShiftRx LLC (“Company,” “we,” “our,” or “us”). By engaging with FlexShiftRx, whether as a client pharmacy or a contracted pharmacist (“User,” “you”), you agree to comply with these Terms. If you do not agree, you may not use our services.
2. Scope of Services
- Clients (Pharmacies/Healthcare Facilities): FlexShiftRx provides licensed relief pharmacists to cover staffing needs on a temporary, per diem, or contracted basis.
- Pharmacists (Contractors): FlexShiftRx connects licensed pharmacists with client facilities seeking relief coverage. Pharmacists remain independent contractors unless otherwise agreed in writing.
3. Eligibility
- Clients must be licensed healthcare facilities in good standing.
- Pharmacists must hold a valid, active pharmacist license in the state of assignment, be in good professional standing, and meet all regulatory and credentialing requirements.
4. Independent Contractor Relationship
- Pharmacists engaged through FlexShiftRx act as independent contractors, not employees of FlexShiftRx or the client facility.
- FlexShiftRx is not responsible for withholding taxes, providing benefits, or covering workers’ compensation for contracted pharmacists.
5. Fees and Payment
- Clients:
- Agree to pay fees for staffing services as outlined in the executed service agreement or booking confirmation.
- Late payments may incur interest charges and collection costs.
- Pharmacists:
- Compensation terms are disclosed prior to assignment.
- Payment is processed by FlexShiftRx based on verified hours/shifts worked.
6. Scheduling & Cancellations
- Clients are expected to provide clear scheduling requirements in advance.
- Cancellation by a client within 24 hours of the scheduled shift may result in a cancellation fee.
- Pharmacists who cancel shifts without reasonable notice may be removed from the FlexShiftRx roster.
7. Professional Conduct
- Pharmacists are expected to adhere to all applicable laws, regulations, and professional standards while on assignment.
- Clients are expected to provide a safe and compliant work environment.
- Any misconduct or breach of duties may result in termination of engagement and possible legal action.
8. Liability & Insurance
- FlexShiftRx maintains professional liability coverage for its operations but does not assume responsibility for individual pharmacist malpractice, negligence, or facility compliance violations.
- Clients are responsible for ensuring facility insurance coverage.
- Pharmacists are responsible for maintaining valid professional liability insurance where required.
9. Confidentiality
All parties agree to maintain the confidentiality of patient information, business operations, and proprietary data in accordance with HIPAA and applicable state/federal laws.
10. Limitation of Liability
FlexShiftRx shall not be liable for indirect, incidental, or consequential damages arising from services provided. Our maximum liability, under any circumstance, shall not exceed the amount paid for the specific staffing service giving rise to the claim.
11. Termination
Either party may terminate engagement by providing written notice, subject to obligations regarding scheduled shifts, fees, and outstanding payments.
12. Governing Law
These Terms are governed by and construed under the laws of the State of [Insert State], without regard to conflict of law principles.
13. Amendments
FlexShiftRx reserves the right to update these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.
